Important amendments to corporate legislation

Pepeliaev Group hereby advises on the entry into force of Federal Law No. 310-FZ On Amendments to Article 5 of the Federal Law “On Amendments to Part One of the Civil Code of the Russian Federation and Specific Legislative Acts of the Russian Federation.”

This Federal Law lifts the obligation of limited liability companies, stipulated by Federal Law No. 312-FZ, to bring their charters into line with the Civil Code of the Russian Federation and the Federal Law “On Limited Liability Companies” by 1 January 2010.

Now a limited liability company may bring its charter into line with the above legislation when it first applies to the tax authorities regarding other amendments to its constituent documents (in other words, at the time of the registration of such amendments).

As noted above, clause 2, article 5 of Federal Law No. 312-FZ dated 30 December 2008, which amended, inter alia, the Russian Civil Code and the Federal Law “On Limited Liability Companies”, had previously stipulated the obligation of limited liability companies established before 1 July 2009 to bring their charters in compliance with the above documents by 1 January 2010.
