Legal support with respect to the localisation of a leading global producer of food products in Russia

The lawyers of Pepeliaev Group's corporate practice advised on and provided assistance with respect to the localisation of a leading global producer of food products in Russia. Our task involved the incorporation of a joint-venture company and entry into a shareholders’ agreement. This project has been implemented in full under Russian law by using the recent mechanisms introduced to the Russian Civil Code such as a shareholder agreement and call - options. The project demonstrates that these mechanisms correspond to the demands of international business, and allow substantial and complex transactions to be implemented under Russian law without using and referring to other jurisdictions.
