She advises on matters connected with mergers and acquisitions of credit institutions, conducts due diligence, advises on structuring transactions, and provides support during such transactions.
She has significant experience of advising clients on different issues including the regulation of credit institutions’ activities by authorised state bodies as well as acquiring and reorganising credit organisations and providing legal support for their operations.
Her main achievements
- provided full legal advice and support in connection with the registration and licensing in the Russian Federation of a fully-owned subsidiary bank of one of the Korea’s largest financial groups, including drafting the set of documents relating to the new bank’s registration and filing with the regulatory authorities. This deal involved the registration of a new bank under amended CBR regulations, with respect to internal control and management requirements, some of which kept changing during the registration process;
- provided advice and assistance to a large investment company on a range of matters connected with the acquisition of a Russian bank including conducting a due diligence, structuring the transaction and preparing all necessary documentation;
- provided advice and support to an international financial company in connection with the expansion of its presence in Russia including preparing documents regarding credit programmes;
- provided extensive legal advice and full transactional support in connection with the sale of the Russian subsidiary of Cyprus based bank. Legal assistance included structuring of the deal under Russian law, assistance with preparation of the transactional documents, participation in the closing of the deal and assistance with all registration formalities in Russia. Provided legal support to the extension of the Bank’s Moscow and St. Petersburg Representative Offices’ accreditation with the Bank of Russia, along with accreditation and obtaining work permits for their top-managers.
