What he specialises in

Ilya specialises in corporate and contract law. For over 25 years, he has been advising Russian and international clients on matters relating to investments in Russian enterprises, on how business is done in Russia, on M&A transactions and the subtleties of commercial and contractual law, various cross-border projects and antimonopoly regulation (including on the acquisition of assets, business restructuring and setting up joint-ventures, as well as the integrated structuring of contractual relationships in Russia).

His main achievements

Ilya has managed and been directly involved in the implementation of a number of projects for Russian and international clients, including the following:

• performed due diligence for and handled the structuring of a transaction in connection with the acquisition of assets and/or setting up joint ventures in Russia, including managing transactions being implemented in various CIS states;

• represented a private equity fund with a long track record in Russia in relation to transactions to invest in companies in Russia, including support in transactions under which portfolio companies of the fund acquired new companies and assets;

• provided legal support during the integration and launching of enterprises on the Russian market after transactions had been entered into and also provided support when the structure of ownership of membership interests in relation to assets was changed; 

• represented clients in various deals to sell companies or assets, to buy out shares, including the buying out of shares by a company’s management, over the period from 2022 until 2023 and also with respect to the accompanying restructuring of operations after the structure of the owners was changed;

• represented the client when various integrated cross-border transactions were entered into, implemented or terminated in relation to the sale and purchase of goods, the maintenance of sophisticated industrial equipment and the performance of commissioning work;

• represented major companies in such industries as car manufacturing, telecommunications, the media and information technologies; drafted and implemented specific contracts or contractual models for them to tackle ongoing commercial issues or to launch new projects in Russia, including in connection with the expansion or restructuring of a business, the introduction of new distribution models or new products in Russia.
