Prepared a list of audits conducted by state and municipal authorities during the Olympic Games in Sochi, including an analysis of possible legislative prohibitions on advertising during the competitions. We also advised on the legal aspects of purchasing tickets for the event.
Transaction structuring
Divestment of its shareholding in Commercial Bank UNIFIN. Structuring a transaction on sale of a majority stake in the bank by UFG to the group of private investors.
Due Diligence and structuring the transaction
Legal support of the largest Scandinavian transport and logistics company in connection with the alleged acquisition of transport and logistics business in St. Petersburg, including the implementation of due diligence of the acquired company and deal structuring.
Consulting
Advised a foreign FMCG company regarding intellectual property in connection with the client entering the Russian market. The advice included recommendations on how to structure contractual relationships in Russia, recommendations regarding the protection of IP rights including in relation to adding the client's trademarks to the applicable customs registers, etc.
Due Diligence
Carried out due diligence of a large set of patents relating to inventions for electrical machinery and technology of a major plant in Russia that was to be acquired by a foreign investor.
Franchise agreement
We drafted a franchise agreement on behalf of a major restaurant business company to widen its franchise.
Advisory services
Advised a Russian stock exchange on rights to a number of computer programmes in relation to a reorganisation of legal entities that formed a part of the client's group of companies. We analysed the transfer of rights to the corresponding programmes and gave a legal appraisal of the risks and restrictions.
Representing the client in court
Legal representation with regard to the early termination of trademark protection
We filed a statement of claim and supported a case for the legal protection of a trademark being terminated, which prevented our client from observing the terms and conditions of the Olympic construction plan.
Registering trademarks
Registered the trademarks of a Russian mobile operator, and a major foreign company in all CIS countries, Vietnam, Cambodia, Laos, Myanmar, USA and some Latin American countries.
Migration issues
Advised on how to structure the hiring of foreign employees in a company and its structural subdivisions.
We obtained quotas and permits to hire foreign employees, and had permission documents issued for foreign employees and their family members.
Optimising and restructuring staff
Devised a strategy for and provided legal support during a staff reduction or redundancy programme, in introducing a downtime regime, changing the amount of salaries, and regarding possibility of applying disciplinary reprimands against the employees.
Legal support in obtaining licences
Advised on matters involved in obtaining a licence to purchase, store and supply alcohol products and products containing alcohol, and on internal document management in relation to transferring alcohol products within a chain.
Personal data protection
Made recommendations to a Russian telecommunications company for notifying Roskomnadzor of personal data processing, and for ensuring that personal data remained secure while being processed.
Employment disputes with former employees
Settled court disputes with former employees, including a general director. Held negotiations with employees, drafted procedural documents, and filed a counterclaim to have the general director reimburse losses.
Relationships with trade unions
Advised on negotiations with trade union that enjoyed support from representatives of the Association of Trade Unions, and on legal aspects of entering into collective agreements. Prepared recommendations on how to eliminate abuses of trade unions, drafted the applicable documents.
Structuring joint ventures
Advised on an innovation project regarding how to structure a joint venture between Russian and foreign investment funds.
Company formation
Assisted in establishing a venture in Russia. This involved support in forming a company, and advising on labour law, commercial law and tax matters.
